Thanks for using our product and services ("Software"). By using our Software, you are agreeing to these terms. Please read them carefully. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE Software.

1. Software overview

Balanceo offers users task management software services, “Balanceo” and “Balanceo Premium” which allow users to organize tasks, routines, and supervise their life spheres progress in one place.

2. Eligibility

You must be at least 13 years old to use the Software. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 13 years old; (b) you have not previously been suspended or removed from the Software; and (c) your registration and your use of the Software is in compliance with any and all applicable laws and regulations.

3. Accounts and registration

To access the Premium version of the Software, you must create an account. When you create an account, you may be required to provide us with some information about yourself, such as your name and email address. You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times. You are solely responsible for maintaining the confidentiality of your account, and you accept responsibility for all activities that occur under your account. If you believe that your account is no longer secure, then you must immediately notify us by emailing at balanceo@state-x.com. Pay attention, that after account cancellation your progress and data in the app will be erased.

4. Privacy and Copyright Protection

Balanceo's Privacy Policy explains how we treat your personal data and protect your privacy when you use our Software By using our Software, you agree that Balanceo can use such data in accordance with our privacy policies.

5. Payment Terms

Several features of the Software require fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are in the currencies based on your country and provided on the Google Play Store or App Store and are non-refundable.

5.1 Price

Balanceo reserves the right to determine the pricing for the Software. Balanceo undertakes to publish the current pricing on the website. We encourage you to check our website periodically for current pricing information. Balanceo may change the price of any feature of the Service; Software; if this occurs, Balanceo will provide you advance notice of the changes before they apply.

NOTE! Price may include extra taxes, based on our country laws. Local prices use today’s exchange rate and country-specific pricing patterns. Countries without local currency support use default price in USD.

5.2 Subscription service

The Software may include recurring payments for periodic fees charged automatically (“Subscription Service”). If you activate a Subscription Service, you authorize Balanceo or its third party payment processors (Google Play Store or Apple App Store) to periodically charge, on a going-forward basis, and until cancellation of either the recurring payments or your account. The “Subscription Billing Date” is the date when you purchase your first subscription to the Software. For information on the “Subscription Fee”, please see our Balanceo Premium pricing page. Your account will be charged automatically on the Subscription Billing Date for all applicable fees and taxes for the next subscription period (e.g., monthly subscription fee billed on the same day each month). The subscription will endure unless and until you cancel your subscription or we terminate it. You must cancel your subscription before it renews in order to avoid billing of the next periodic Subscription Fee to your account. Balanceo or its third-party payment processor will bill the periodic Subscription Fee to the payment method you provide to us during the account creation process (or to a different payment method if you change your payment information). You may cancel the Subscription Service by following the instructions provided at Google Play Store or Apple App Store or by contacting us at balanceo@state-x.com.

5.3 For iOS users of Balanceo:

Payment will be charged to iTunes Account at confirmation of purchase;

Subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period;

Account will be charged for renewal within 24-hours prior to the end of the current period;

Subscriptions may be managed by the user and auto-renewal may be turned off by going to the user's Account Settings after purchase.

5.4 For Android users of Balanceo:

In case of any issues with payment processing users have 7 days to resolve them, until then - user can use our Premium Software without any limitations. If issue will not be resolved in 7 days - all premium features will be restricted.

6. Balanceo Software Products

6.1 General

Users may create an account for the various Balanceo Software products described below via the Balanceo mobile application, as applicable. These Terms apply to all products that are a part of the Software.

6.2 Balanceo Premium

You may create a free account of Balanceo or buy the paid subscription version of Balanceo (“Balanceo Premium”). The Subscription service automatically renews at the end of your billing period (Section 5.2). You could upgrade your free account by following the instructions on the Balanceo Premium pricing page within the app. Balanceo offers you free general account services until you upgrade your account to Balanceo Premium. You will be charged with the amount shown on the Balanceo Premium pricing page within the app before you can access Balanceo Premium.

7. Compliance with Law

This Service is intended for use only in compliance with applicable laws and only with properly licensed media and content. You undertake to use the Service in accordance with all applicable laws, including without limitation, all applicable export laws, restrictions, and regulations and agree that you will not export, or allow the export or re-export of the Service in violation of any such laws, restrictions and/or regulations. You agree to the foregoing and represent and warrant that you are not located in, under the control of, or a national or resident of any restricted country.

8. Changes to Software or License Agreement

Balanceo may modify, suspend, or discontinue any aspect of the Software at any time. Balanceo reserves the right to modify the terms of this License Agreement, whereby material changes will be disclosed to you through a patch process or through website posting. Except for changes to this License Agreement that affect your privacy, which shall be subject to your specific acceptance, your continued use of the Service, following any revision of the Service or this License Agreement, constitutes your acceptance of any such changes.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BALANCEO DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

10. Limitation of Liability

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (TORT, CONTRACT, OR OTHERWISE), SHALL BALANCEO OR ITS LICENSORS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY TYPE INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, BUSINESS INTERRUPTION, DEVICE FAILURE OR MALFUNCTION, LOSS OF BUSINESS PROFITS, LOSS OF DATA OR BUSINESS OR FINANCIAL INFORMATION, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU. IN NO EVENT SHALL BALANCEO'S CUMULATIVE LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY LOSS OR DAMAGES EXCEED THE AMOUNT PAID BY YOU TO BALANCEO FOR USE OF THE SOFTWARE, EVEN IF BALANCEO HAD BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

11. Immediate Termination

Without prejudice to any other rights, this Agreement and your right to use this Software automatically terminates if you fail to comply with any provision of this License Agreement. Balanceo may terminate this License Agreement at any time with or without prior notice. You may terminate this license at any time by stopping your use there of and uninstalling the Software.
